Apart from overseeing the entire company secretarial department and managing the delivery of our company secretarial and paralegal services, he regularly attends and advises at board meetings and delivers papers on compliance and governance for consideration at those meetings.

Renee Trusch, Managing Director.The managing director of London Registrars plc, Renee has a business administration and accountancy background and is responsible for running the company. She also oversees our process agency, bookkeeping and accountancy services.

Claire Parr, Consultant Company Secretary and AIM Client Co-coordinator.Claire, who was with London Registrars for many years as our senior Company Secretary with over 19 years’ experience in the AIM market and fully listed companies, moved to Devon last year and now acts as our consultant on some of the more complex AIM related projects.

Rani Srikanth, Senior Company Secretary.Rani is an associate of the Institute of Chartered Secretaries and Administrators. She has worked as a team with Claire on our AIM listed companies, but also manages her own portfolio of large and medium sized clients and specialises in company secretarial audits. In addition to providing advice on compliance requirements for the clients, she is also in charge of advising and preparing documentation for clients seeking admission to the First and Main Quote segments of the GXG markets. She also works with the external and professional advisors relevant for listing purposes. She has over six years’ post qualification experience in the UK and is also a qualified company secretary in India.

Gladys Williams, Company Secretary.Gladys is an Associate of the Institute of Chartered Secretaries and Administrators. Gladys has worked in many different industries, both in the public and private sectors, including interim assignments, and excels at taking on jobs where matters have been neglected and need rectifying.

Kim Lan Yap, Company Secretary.Kim Lan is a fellow of the Institute of Chartered Secretaries and Administrators. Having been head of the company secretarial team at an international law firm, she gained considerable experience in company secretarial core work, company law compliance and been part of a corporate team dealing with the listing of, and ongoing compliance requirements relating to, AIM and Main Market companies. Kim Lan was also a course tutor and member of a panel of three speakers for several years when she undertook speaking engagements at conferences on company secretarial administration and company law services.

Joanne Munis, Company Secretary.Joanne is a Graduate Member of the Institute of Chartered Secretaries and Administrators. Joanne holds a masters degree in Corporate and Commercial Law and has over three years’ experience in company secretarial roles, across a number of sectors including: financial services, pharmaceuticals and professional services.

Neil Meddemmen, Assistant Company Secretary.Neil maintains our clients’ Statutory Registers on our company secretarial software and does most of our web-filing on behalf of our clients. He prepares and submits our clients’ Annual Returns to Companies House and manages most of our flat management clients. He also deals with our incorporations, both for LLPs and Limited Companies.

Abi Oke, Paralegal.Abi is our paralegal. She is a qualified solicitor in Nigeria and has had over 18 years’ experience of legal practice. Abi also has a master’s degree in commercial law and she provides legal support to our company secretarial clients.Jacyntha Gallant, Senior Administrator and Process Agency Manager.Jacyntha is our general office manager and also manages our process agency business.

Shaheda Begum.Shaheda provides administrative support and contributes to the smooth running of our office.Sultana Begum, Client Services Co-ordinator.Sultana is our payroll administrator and responsible for running our own and our clients’ payrolls. She also concentrates on the IT side of the business, her particular responsibility being the maintenance of our clients’ SharePoint sites.

Amina Begum, Accountant.Amina is responsible for preparing and filing year end accounts for London Registrars and our clients.Monwara Begum, Bookkeeper.Monwara is a member of our accounts team and is responsible for maintaining our clients’ accounts, filing their quarterly VAT returns, complying EC sales lists and liaising with the accountant on the end of year accounts.

Ian Stray, Business Development and Marketing Manager.Ian is responsible for marketing and business development at London Registrars.We also have a number of associates with whom we work closely and who assist us to deliver specific services such as IT consultancy, employment consultancy, personal and company tax return, advocacy and auditing.

Disincorporation is the transfer of a business’s assets from a limited company to its shareholders who continue the business as a sole trader or a partnership. Such a transfer of assets would normally be subject to corporation tax on disposal of the assets by the company, but HMRC is offering tax relief to qualifying businesses, known as Disincorporation Relief.

Product and Services

Companies limited by guarantee are a form of legal entity mainly used by charitable or non-profit making organisations. They are private companies where the liability of the members is limited to the amount of money they have paid to the organisation as a guarantee in case the company is wound up while they are a member (or within one year of their ceasing to be a member). The amount that is guaranteed is usually £1.

A Limited Liability Partnership is a relatively recent form of legal business entity with limited liability, commonly known as an LLP, and is quite different from the original general or limited partnerships. There are currently almost 40,000 LLPs registered with Companies House. An LLP has no directors, no shareholders and no share capital.

An LLP combines some of the flexibility of a traditional partnership (and is taxed as a partnership), but with the advantages of limited liability and is therefore increasingly favoured by entrepreneurs who wish to benefit from the protection and flexibility offered through this vehicle.

A private limited company is the most common vehicle for carrying on a business and is highly versatile.Forming a new company is a straightforward process when you use an experienced incorporation agent. You will find many websites offering cheap company registrations, but many of these do not offer the level of service you expect. A public limited company must have at least two directors and a company secretary who is on record with Companies House.A public limited company also must have issued share capital of at least £50,000 (or the prescribed Euro equivalent as set from time to time by the Secretary of State). The liability of each member is limited to the value of shares a member holds.

For more information please visit the plc section in our FAQs.A company can apply to Companies House for voluntary dissolution or striking off when it is no longer needed. To be eligible, the company can’t have changed its name, traded or otherwise carried on business (although disposing of assets is permissible) in the three months before it submits the application.

To take advantage of voluntary striking off, the company must be free of any debts prior to application, as this is not an alternative to formal insolvency proceedings and creditors can object to the dissolution or apply for the company to be restored to the register at a later date.

Directors and shareholders of a company should be aware that upon dissolution of a company, any assets still in the company as well as any unpaid share capital become bona vacantia, i.e. have no owner and are therefore property of the Crown. The Treasury Solicitor is legally entitled to call for the company’s shareholders to make payment for any unpaid share capital, but this is only likely to be a danger where this is a significant sum. To avoid this, we recommend carrying out a reduction in share capital before dissolution if unpaid share capital is more than £500.
